Article 2. Realisation of agreement

2.1 These Terms of Sale apply to all offers of Phone Parts Centre Co. Ltd (from now on called Phone Parts Centre/ Our/ We) and to all agreements with Customers of Phone Parts Centre. These terms are important to You and Phone Parts Centre as they have been designed to:
- protect your rights as a valued Customer
- protect our rights as a business
- create an understanding between us
2.2 All other agreements - including to terms in Customer’s purchase order - are not binding, unless accepted in writing by Phone Parts Centre.
2.3 By placing your (online) order you unreservedly accept our Terms of Sale.

Article 3. Price

3.1 The prices on phonepartscentre.com are the actual prices. Prices of parts, accessories and other goods in mailings can deviate because of price changes that have been carried through after sending the mailings.
3.2 Phone Parts Centre does not charge VAT.
3.3 All prices exclude VAT, taxes, costs of transport & packing and payment charges.
3.4 Prices and availability are subject to change without prior notice.
3.5 Phone Parts Centre is authorised to carry through changes in taxes and costs, also after realising an agreement. In this case we either contact you for instructions or cancel your order and notify you of such cancellation.

Article 4. Product information

4.1 In the event that an item is listed at an incorrect price or with incorrect information due to an error in pricing or product information:
Phone Parts Centre shall have the right, at our sole discretion, to either contact you for instructions or - when you can't be contacted - cancel your order and notify you of such cancellation.
4.2 We have made every effort to display as accurately as possible the colours, finishes and images of our products that appear on our webshop. However, as the actual colours you see will depend on your monitor, we cannot guarantee that your monitor's display of any colour or finish will be accurate. Images are not necessarily shown to scale.

Article 5. Ordering

5.1 Orders can be placed online via Phone Parts Centre's website www.phonepartscentre.com. An order is only being processed after paying the total of purchase price, shipping cost and applicable extra charges.
5.2 If it is not possible for Phone Parts Centre to accept an order for a certain product, we will try to deliver a comparable Product with regard to price and quality. The order will be accepted after agreement has been reached.
5.3 We are authorised to refuse orders below a certain order value (our M.O.Q.) and to calculate extra charges for these orders, like shipment and payment charges.

Article 6. Cancellation

6.1 As we only sell to businesses we do not have a withdrawal period.
6.2 If you have not paid your order, we will not ship it, nor do you need to cancel your order.
6.3 After you paid your order Customer may not cancel, change or modify the order without the written consent of Phone Parts Centre.

Article 7. Payment

Payment takes place per credit card, debit card, prepayment, or on other conditions as described on our website. Conditons as type of payment for an certain order amount.

Article 8. Delivery

8.1 Phone Parts Centre determines the manner of transport and the transporter. All orders will be delivered at the entered business address or if given, delivery address.
8.2. Phone Parts Centre has the right to deliver orders partly. There are no extra costs for partly deliveries or later deliveries.
8.3 A regular order may never contain batteries, battery cases and powerbanks This is due to the regulations for batteries, battery cases and powerbanks. If you ordered less than 9 k.g. of additional batteries (including packing), they won't be send and the difference will be refunded without prior notice.
8.4 Because of article 7.3 an order for batteries, battery cases and powerbanks may never contain other products. If you ordered less than 9 k.g. of other products than batteries, we have the right to not process this part of the order and to refund it without prior notice.

Article 9. Your obligations

Our obligations upon sending the packages:
9.1 Any issues with Hong Kong customs will be handled by our representatives.
9.2 Once the order is dispatched we are not liable for damages or losses.
9.3 We are not responsible for customs clearance in your country and transit countries.

Wen you open the packages, you have the following obligations:
9.4 Check if the tape seals and the fragile marks on the packages are still intact.
9.5 Take photos of the packages and weight it for your record.
9.6 If it looks like a package has been opened or visibly damaged, take pictures of it.
9.7 When goods are damaged upon delivery, take a photo of the specific goods.
9.8 When you have received goods you did not order, take 2 photos of each incorrect item.
9.9 2 weeks after receiving the photo's, weight & the article numbers we will come with a solution.

Article 10. Warranty

10.1 We grant a guarantee on our parts and accessories for 12 months, from the day you receive your order.
10.2 For batteries, powerbanks and battery cases the warranty period is 6 months.
10.3 During this periods, we guarantee that our products are free of defects.
10.4 On all our parts we utilize a unique 'PPC' warranty stamp. Parts without this stamp will not be covered by our warranty.
10.5 The returned products must be in the same packing as we issued and must be in good condition. If you do send without the right packing, or the product is in bad condition, we will not replace the product.
10.6 Warranty claims should be made within 14 days after discovering the deficiency.
10.7 Warranty claims should be files online via the original order in your online account.
10.8 After our approval the damaged goods should be send to the following address: Phone Parts Centre, UK Warranty Department, Unit H19/20, FK1 UJ1 Falkirk, United Kingdom.
10.9 The return costs of the damaged goods and the shipping goods for your replacements are for your account.

Article 11. Responsibility

11.1. Our liability with regard to sale and delivery of goods is explicitly limited to the warranty as described in article 10 Warranty.
11.2. We are not responsible for provided (technical) advices, misprints in mailings, technical specifications which have been provided by suppliers and manufacturers, and uncontrollable bad quality of goods.
11.3. Each responsibility of Phone Parts Centre is restricted to the actual paid amount of the relevant invoice.

Article 12. Provided information

12.1. At its latest during the finishing of the agreement, these Term of Sale are offered by Phone Parts Centre electronically. It is The Customer's responsibility to print or save these Terms of Sale.
12.2. Phone Parts Centre provides the following information on its website:
- registered address and the registration number at the Chamber of Commerce
- the most important product specifications (e.g. price)
- the method of delivery and payment and the corresponding costs
- the address for returning a product with a warranty claim
12.3. If Customer wants to dissolve or cancel the contract because of the fact that Phone Parts Centre should not suffice its legal information duties, this procedure should be carried out in fourteen days after accepting the order.
12.4. We reserve the right to randomly monitor and record our customer support communications.

Article 13. Force Majeure

13.1 We shall not be liable to a Customer or deemed to be in breach of contract by reason of any delay in performing, or any failure to perform, any obligations of Phone Parts Centre in relation to its goods, provided that the delay or failure was due to any cause beyond reasonable control of Phone Parts Centre.
13.2 Without prejudice to the generality of article 13.1, the following shall be regarded as causes beyond reasonable control of Phone Parts Centre: Act of God, explosion, flood, tempest, fire or accident; war or threat of war, sabotage, insurrection, civil disturbance or requisition; acts, restrictions, regulations bye-laws, prohibitions or measures of any kind on the part of any governmental, parliamentary or local authority; import or export regulations or embargoes; strikes, lock-outs or other industrial actions or trade disputes (whether involving employees of Phone Parts Centre or of a third party); difficulties in obtaining raw materials, labour, fuel, parts, accessories or machinery; power failure or breakdown in machinery.

Article 14. Applicable Law

14.1 These Terms of Sale are based on Hong Kong's legislation.
14.2 Disagreements will be solved in mutual consultation as much as possible.
14.3 In case of a legal dispute, Consumer will pay its own and Phone Parts Centre's legal cost.
